PREAMBLE

 

These Terms and Conditions of Sale (hereinafter "T&Cs") govern the relationship between WDG EDGE LLC (hereinafter the "Seller") and any individual or legal entity (hereinafter the "Client") placing an order on the website YourMelody.

ARTICLE 1 - OBJECT AND NATURE OF SERVICES

 

The Seller offers a personalized musical creation service upon request (hereinafter the "Work") as well as the sale of associated physical products (plaques, stands).

1.1 Artistic Nature The Client acknowledges that the main service of "Personalized Song" constitutes an original work of the mind. The Seller acts as the creator, artistic director, and producer, relying on human expertise assisted by digital composition tools and artificial intelligence for technical production.

1.2 Physical Products Accessory products (plaques, frames, magnets) are personalized tangible movable goods.


 

ARTICLE 2 - ORDERS AND PERSONALIZATION

 

The Client places an order on the website by providing specific instructions (names, stories, musical style). The Seller agrees to respect these guidelines to create a unique work. Due to the artistic and subjective nature of the creation, the Seller retains freedom regarding the artistic interpretation of the instructions.


 

ARTICLE 3 - PRICING AND TAXATION (VAT)

 

Prices are indicated in Euros (€) inclusive of all taxes (TTC). The applicable VAT rate varies according to the nature of the product and the geographical location of the Client, in accordance with applicable fiscal territoriality rules.

3.1 VAT Breakdown (Clients in France & European Union)

  • Musical Creation (Audio File): Subject to the reduced rate of 10% (for France, in accordance with Article 279 g of the CGI) or the local reduced rate applicable to copyright/author rights for other EU countries. This rate applies to creation fees including the assignment of usage rights.

  • Physical Products and Technical Services: Physical supports (plaques, frames), digital distribution options (streaming), and ancillary services are subject to the standard VAT rate in force in the Client's country (e.g., 20% in France).

3.2 Export (Clients Outside EU and Overseas Territories/DOM-TOM) For Clients residing outside the European Union (e.g., USA, Canada, Switzerland, UK...) or in French Overseas Departments (DOM), services are invoiced Excluding Tax (VAT 0%).

  • For digital services: in accordance with Articles 259 B and 259 D of the French General Tax Code (Place of consumption located outside France).

  • For physical goods: in accordance with Articles 262 I and 294 of the French General Tax Code (Export).

Note: The Client residing outside the EU or in the DOM is the importer of the product. Customs duties, local taxes, or import duties may be due. These rights are not within the purview of the Seller and remain the exclusive responsibility of the Client.


 

ARTICLE 4 - INTELLECTUAL PROPERTY AND ASSIGNMENT OF RIGHTS

 

In consideration of the payment of the price for the musical creation service, the Seller assigns to the Client the following patrimonial rights on the delivered Work:

  1. Right of Reproduction: The Client is authorized to copy the digital file for personal use on all their devices.

  2. Right of Representation (Private Circle): The Client is authorized to broadcast the Work strictly within the family circle and for private use (family gatherings, weddings, birthdays, personal use).

Restrictions: This assignment is granted on a non-exclusive basis, worldwide, and for the legal duration of copyright. Any commercial, promotional, advertising, or radio use is strictly prohibited without prior written agreement and specific additional billing from the Seller. The Seller retains their moral rights over the Work (right to respect for the integrity of the work and right of authorship).


 

ARTICLE 5 - DELIVERY

 

  • Digital Products (Songs): Delivery via email or download link. The average timeframe is indicated on the site (generally 2 to 5 business days, unless Express option is selected).

  • Physical Products: Delivery to the address indicated by the Client. Delivery times vary depending on the carrier. For products shipped from third countries (outside EU), the Seller strives to facilitate formalities (via IOSS for the EU) but cannot be held responsible for customs delays.


 

ARTICLE 6 - NO RIGHT OF WITHDRAWAL

 

In accordance with Article L.221-28 of the French Consumer Code (and EU Directive 2011/83/EU), the right of withdrawal cannot be exercised for contracts regarding the supply of:

  1. Goods made to the consumer's specifications or clearly personalized.

  2. Digital content not supplied on a tangible medium if the performance has begun with the consumer's prior express consent.

Consequently, given the unique and personalized nature of the song and engraved physical products, no request for cancellation or refund will be accepted once the order has been validated and production has started.

However, in the interest of commercial satisfaction, the Seller may propose, depending on the offers, possibilities for revision or modification of the Work after delivery, according to the conditions described on the site.


 

ARTICLE 7 - LIABILITY

 

The Seller implements all means to ensure a quality service. However, artistic appreciation being subjective, the Seller's liability cannot be engaged if the artistic interpretation of the Work does not correspond to the subjective tastes of the Client, provided that factual directives (names, style) have been respected.

The Seller cannot be held liable for direct or indirect damages that may result from access to or use of the site or the products sold.


 

ARTICLE 8 - PERSONAL DATA

 

The information collected is necessary for order processing. In accordance with GDPR, the Client has a right of access, rectification, and deletion of their data by contacting support. Data provided for the creation of the song (personal stories) is used solely for the purpose of creation and is treated with the strictest confidentiality.


 

ARTICLE 9 - APPLICABLE LAW AND DISPUTES

 

These T&Cs are subject to French law. In the event of a dispute, an amicable solution will be sought before any legal action. Failing that, the French courts shall have exclusive jurisdiction.
